Our attorneys have acted as Bond Counsel, Underwriter’s Counsel, Special Counsel, Special Tax Counsel, Trustee’s Counsel and Lender’s Counsel with respect to tax-exempt and taxable issues covering the entire spectrum of governmental entities – state, cities, counties, townships, school districts and municipal authorities as well as the issuance of private activity bonds for the benefit of private businesses and not for profit entities. We have worked on transactions involving financing of general obligations, major capital improvements, economic development projects, non-profit, health care and educational institutions, multi-family and single family housing and infrastructure projects (including, transportation, wastewater and ports).

Our Focus
Every bond issue shares an overriding concern regarding tax and securities law issues. Accordingly, our Public Finance attorneys stay ahead of the curve with emerging issues, including our involvement in professional associations, such as NABL (National Association of Bond Lawyers), PMAA (Pennsylvania Municipal Authorities Association), and Pennsylvania Association of Bond Lawyers.
Some examples of our work include:
- Acted as bond counsel to the New jersey Housing and Mortgage Finance Agency in the issuance of its Single Family Revenue Bonds in 2018;
- Acted as bond counsel in the issuance of general obligation bonds by several municipalities and school districts in the Commonwealth of Pennsylvania;
- Represented underwriters in the issuance of tax exempt and taxable bonds by New Jersey county improvement authorities;
- Acted as bond counsel to the Pennsylvania Turnpike Commission in the issuance of its Oil Franchise Revenue Bonds.
- Acted as bond counsel to the New Jersey Economic Development Authority in the issuance of energy revenue bonds to finance a power plant;
- Represented the lender of tax exempt loans to 25 municipalities in Southeastern Pennsylvania to finance energy savings improvements for the municipalities;
- Acted as bond counsel in several conduit financing for multi-family affordable housing projects initiated by private developers in New Jersey;
- Represented the underwriters in the issuance of revenue bonds by a municipal utilities authority in Western Pennsylvania;
- Acted as bond counsel for a county utility authority in New Jersey.
