Jared is an attorney in Obermayer’s Business & Finance Department. He focuses his practice on tax structuring and analysis attendant to business transactions as well as advising clients on tax considerations critical to:

  • Choice of entity questions and the formation, acquisition, and disposition of closely-held businesses, real estate joint ventures, and other entities
  • Mergers, acquisitions, and reorganizations, with a unique specialty in S Corporation taxation

Jared has extensive experience identifying value-added opportunities in the M&A context resulting from tax-efficient structuring and has performed tax due diligence and tax structuring for several multi-billion dollar cross-border carveouts, spinoffs, and outright acquisitions. 

Jared’s notable representative matters include:

  • Review and Audit of IRC Sec. 355 spin-off of Dow Chemical Company from DowDupont.
  • Bankruptcy tax structuring and 368(a)(1)(G) of multi-million-dollar international enterprise
  • IRC Sec. 382 change in control analysis performed for a multi-billion dollar private equity company during a proposed bid for ThyssenKrupp Elevators.
  • Structured the IPO and associated UP-C structure for Shift4.
  • Performed multi-year E&P analysis for a Fortune 100 food and beverage enterprise.
  • Performed detailed tax diligence and structuring for numerous private equity fund buy-side deals.
  • Represent significant religious organization with respect to non-profit tax issues.

Jared serves on the Board of Directors of ElderNet, a Lower Merion non-profit that provides aid and services to elderly persons.

Jared graduated cum laude from Temple University Beasley School of Law.  He was also a recipient of the Terrence H. Klasky Memorial Award for outstanding academic achievement in contracts and finance law. Jared was a Law Faculty Merit Scholar, as well as a member of the Delta Alpha Pi Honors Society.

Jared graduated from the University of Pennsylvania (B.A.) with Honors.

Jared’s notable activities and engagements include:

  • Hosting CLE programs for tax-specific topics, including lecturing on tax topics for Strafford CLE.
  • Participating as an expert panelist at Startup Bucks, a PA-based business incubator program.
  • Presenting on transactional risk management at the Pennsylvania Bar Institute Law Forum.
  • Serving as a recurring judge in the Temple Law Introduction to Transactions program for law students.
